Terms of service

Studio365 (including studio365.ai and the Amanda AI assistant) is provided by Surge Solutions ("we", "us"). When you use Studio365 you are entering into an agreement with Surge Solutions. If you use Studio365 for an organization, you confirm you have authority to bind it; if you use it as an individual, you confirm you are of legal age.

By creating an account or continuing to use Studio365, you agree to these terms and our Privacy notice. If you do not agree, do not use the service.

Studio365 helps organizations plan, build, preview, version and export business software with AI assistance. Features vary by plan. You are responsible for keeping your login credentials confidential, for activity under your account, and for keeping your account information accurate.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, cancellations and refunds are governed by Paddle's Buyer Terms together with our Refund policy.

• Paid plans are billed monthly in advance and renew automatically until cancelled.
• Prices shown at checkout include or add applicable taxes as calculated by Paddle.
• You may cancel at any time; cancellation takes effect at the end of the current paid period and you keep paid access until then.
• Upgrades take effect immediately with a prorated charge; downgrades take effect at the next renewal.
• Plan credits are granted only after a successful payment, belong to the organization, and have no cash value. Free daily credits reset daily and do not roll over.
• If a renewal payment fails, service may continue during a short grace period, then pause.

You must not use Studio365 to:

• break any law, or build software intended for unlawful purposes;
• commit fraud, send spam, or impersonate others;
• infringe intellectual property or privacy rights;
• create malware, probe or attack systems, scrape the service, or interfere with its security or other customers;
• generate illegal content, deceptive deepfakes, hate speech or harassment, or try to bypass AI safety controls (jailbreaking);
• reverse engineer, resell, or circumvent limits of the service, or use it to create a substantially similar competing platform.

You are responsible for your prompts and inputs, for having rights to what you upload, and for how you use generated output. AI output can be inaccurate or insecure; review and test it before relying on it, and do not use it as regulated professional (legal, medical, financial) advice without qualified oversight.

You keep your rights to your inputs and the project code you create, and you can export, version and self-host it. You grant us a limited licence to host and process your content only to provide the service. Rights holders can report infringing content via our contact page; repeat infringers may be suspended. We may remove or restrict content or refuse outputs that violate these terms.

Surge Solutions owns Studio365 and its software, platform source code, system prompts, AI orchestration, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the service within your plan.

We work to keep Studio365 reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, the service is provided "as is" and we disclaim implied warranties of merchantability and fitness for a particular purpose.

We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service at any time. After termination you will normally have a reasonable window to export your projects before data is deleted according to our Privacy notice.

To the extent permitted by law, we are not liable for indirect, consequential or special damages (such as lost profits, data or goodwill), and our total liability is limited to the fees you paid in the 12 months before the claim. Nothing limits liability for fraud, death or personal injury where the law does not allow it. You agree to indemnify us for claims arising from your content, unlawful use or breach of these terms.

We may update these terms and will note the date above. You may not assign this agreement without our consent; we may assign it in a merger or acquisition. Neither party is responsible for delays caused by events beyond reasonable control. Governing law and venue: the jurisdiction where Surge Solutions is established (to be confirmed on legal review).
